PeopleWise Partners is seeking an experienced Financial Advisor to support a confidential acquisition project in the Kingdom of Saudi Arabia. The Financial Advisor will work closely with the project team and key stakeholders to conduct comprehensive financial due diligence on the target company. The role will assess the company’s financial performance, financial position, quality of earnings, working capital, cash flow, debt exposure, forecasts and key transaction risks. The successful advisor will provide clear, independent and commercially focused insights to support the acquisition decision, transaction negotiations and post-acquisition planning. This is a project-based consulting engagement, with the potential for future collaboration.

Responsibilities

  • Lead the financial due diligence process for the proposed acquisition.
  • Review historical financial statements, management accounts, budgets and forecasts.
  • Assess the quality and sustainability of revenue, earnings and cash flow.
  • Identify recurring and non-recurring income and expenses.
  • Analyse EBITDA adjustments and determine normalized earnings.
  • Review working capital trends and assess the appropriate normalized working capital level.
  • Examine cash flow generation, liquidity requirements and funding needs.
  • Review debt, liabilities, financial commitments and off-balance-sheet exposures.
  • Assess accounts receivable, accounts payable, inventory and provisions.
  • Review the target company’s financial controls, reporting systems and accounting practices.
  • Evaluate the reliability of financial projections and underlying assumptions.
  • Identify financial, commercial, operational and transaction-related risks.
  • Highlight potential financial liabilities, deal-breakers and value-protection considerations.
  • Support valuation analysis, financial modelling and transaction scenario assessment.
  • Assist in evaluating the financial implications of the proposed deal structure.
  • Prepare a comprehensive financial due diligence report with clear findings and recommendations.
  • Present findings to the project team, business owner and relevant decision-makers.
  • Support management discussions and follow-up information requests.
  • Maintain strict confidentiality throughout the assignment.
  • Coordinate, where required, with legal, tax, commercial and operational advisors.

Qualifications

  • Bachelor’s degree in Accounting, Finance, Economics, Business Administration or a related field.
  • A professional qualification such as CPA, ACCA, ACA, CFA or CMA is strongly preferred.
  • Current or previous experience with a Big Four accounting or advisory firm.
  • Strong experience in financial due diligence, transaction advisory, mergers and acquisitions, corporate finance or deal advisory.
  • Proven experience reviewing financial statements, quality of earnings, working capital, cash flow and debt.
  • Strong financial modelling, valuation and business analysis capabilities.
  • Experience supporting acquisitions, investments or corporate transactions.
  • Knowledge of IFRS and financial reporting standards.
  • Experience in the Saudi Arabian market is strongly preferred.
  • Familiarity with Saudi financial, tax and regulatory considerations is advantageous.
  • Strong written and verbal communication skills.
  • Ability to work independently, manage deadlines and handle confidential information.
  • Fluency in English is required; Arabic is preferred.
